need macro to replace text with cell content

Need a macro, help appreciated.

I have two files, test.txt and test.xls
The requirement is that, specific text(word) from test.txt file must be replaced with a specific cell content from test.xls
Like D1 text must replace with the cell content D1, D2 with cell D2, and so on…..

pls help soon
