Excel formula help

Hi all, new to the board. Looking for help with the below formula.

Need formula for rows 12 and 13 where it pulls down from the deal level cash flow but not to a max sum of defined numbers in C2 and C3 respectively. Let me know if this makes sense. Thanks in advance!
