Converting COUNTIFS formula to Excel 2003

Im trying to convert the following formula to 2003 version. Please help

=COUNTIFS(Dropships!G2052:G2999,"="&TODAY()-1, Dropships!L2052:L2999,"Y", Dropships!M2052:M2999,"<"&TODAY())

I need the formula to count the number of cells that contain "07/24/2014" or before that date in M column and does not have a "Y" in the L column

Start at A1 and select to A9999 while writing a formula, you can't see A1 anymore. Press Ctrl+Backspace to bring active cell into view.

This formula did not work :(

it gives me "#VALUE!"[TABLE="width: 127"]
<TBODY>[TR]
[TD]</SPAN>[/TD]
[/TR]
</TBODY><COLGROUP><COL></COLGROUP>[/TABLE]
